Embraer ( Em Presa Br Brasileira de Aer onáutica ) is a Brazilian aircraft manufacturer, specializing in small and medium-sized civil aircraft, used in regional, business and agricultural aviation until 2018 and the acquisition by Boeing. The company also builds fighter planes, remote sensing, and transport of authorities.

It is one of the largest exporting companies in Brazil. Its headquarters are located in the city of São José dos Campos, in the state of São Paulo, but also has various subsidiaries abroad, including one in China, Harbin Embraer.

Embraer's main competitor is the Canadian Bombardier.

HISTORY

Foundation

Embraer was born from an initiative of the Brazilian government as part of a strategic project to establish the aeronautical industry in the country, in the context of import substitution policies.

It was founded in 1969 and its first president was the engineer Ozires Silva, who led the development of the Embraer EMB-110 Bandeirante plane, designed by the French Max Holste.

Initially, most of the staff were trained by the Aeronautical Technological Institute (ITA) of the Aerospace Technical Center (CTA). In a way, Embraer was born from CTA.

In 1980, Embraer took control of the aircraft manufacturer Neiva which then became a subsidiary company.

During the 1970s and 1980s, Embraer obtained major national and international orders with the Bandeirante, Xingu and Brasília aircraft. But Embraer has also experienced several tragic accidents, often caused by the failure of a propeller.

Currently, the company is growing, with many sales contracts, and extends not only in the physical space, but also in the number of employees, now employing nearly 20,000 workers, twelve thousand direct and eight thousand indirect.

Cooperation and Crisis- 1980s

By starting a partnership with Italy in 1981, it was possible to develop the AMX air-to-ground attack fighter plane, considered as a technological leap for the development of new projects.

In 1986, Ozires Silva left the presidency of the company to assume that of Petrobrás.

Embraer bought Aerotec in 1987.

1988 sees the beginning of the development of a binational air, the design and construction will be carried out by both Embraer and the Lockheed Martin Aircraft Argentina SA, military aircraft factory (FMA) Argentine. The aircraft was designated as CBA 123 , CBA being an acronym for Brazil-Argentina cooperation. In 1990 , the first prototype flew, but because of its high price and the economic and political crisis of the time the production was stopped. A curious detail about the project is that its engines were placed in the rear part of the fuselage, with the propellers found behind.

The end of the 1980s was marked by a great financial crisis which shook the Brazilian economy and reached Embraer which was almost in default . In 1992 , Ozires Silva was invited to return to the presidency of the company and to lead its privatization process . In 1994, at the time of President Itamar Franco, the company was auctioned off and then went through a long restructuring process, and presented new projects which transformed it into a giant in the sector.

Today the company is one of the largest traded blue chips in Bovespa and distributes dividends to its minority shareholders and employees 3

Before being privatized, Embraer was among the companies with the highest market value. In 2017, it was valued at 17 billion Brazilian reais. It is also the fourth largest jet manufacturer in the world.

Its new main shareholders before the takeover by Boeing are the pension funds Previ and Sistel (20% each), the company Bozano, Simonsen (20%) and also a group of investors with a minor shareholding participation (with a total of 20 %) made up of Dassault Aviation, EADS, Snecma, and the Thales group.

Until 2007 the president was then the engineer Maurício Botelho  (pt) replaced today by Frederico Curado.

International Growth

Maurício Botelho was responsible for the restructuring of the company, mainly in the financial context [style to be reviewed. The launch of the ERJ-145 family project, commercial jets with a capacity of up to 50 passengers, was a commercial success and reached the number of 1,000 aircraft sold in 2006.

The next step was new investments for the creation of the Embraer 170 and 190 aircraft lines, in the market for aircraft between 70 and 120 seats, usually classified as E-Jets.

At the same time, they were associated with a new commercial niche, occupied by the main aircraft manufacturers and low-cost airlines.

Its biggest competitor in this sector is the Canadian company Bombardier Inc. with models up to 90 seats. It is not as well-positioned on the market, as its products are extended versions of 50-passenger aircraft, which makes them less spacious.

In 2000, the company launched actions on the New York and São Paulo stock exchanges.

In 2002, cooperation with the China Aviation Industry Corporation II (AVIC II) resulted in the creation of the Harbin Embraer Aircraft Industry Co. Ltd. (HEAI), enabling the construction and sale of Embraer ERJ-145 aircraft on the Chinese market.

In 2004 an association was created with the enterprise of the military branch of the Lockheed Martin Corporation to supply remote sensing aircraft based on the ERJ-145 for the United States navy and aeronautics. However, this project did not come to an end, the North American army having canceled the program in January 2006.

In 2005, a consortium led by Embraer was declared victorious in the process of privatization of OGMA, an aeronautical industry of Portugal, against the Italian-American consortium, made up of the companies Alenia Aeronautica and Lockheed Martin Corporation.

The same year, the company launched a commercial offensive to amplify its participation in the business aircraft market, then comprising only the Legacy  (en) having as its platform the ERJ-135 jet . To do this, it initiated an internal restructuring of this sector, organized by its vice-president of business aviation Luís Carlos Affonso.

In May the Embraer Phenom 300 (or Embraer Light Jet) project was announced as well as the Embraer Phenom 100 (or Embraer Very Light Jet). Along with their full-size models, their official names were released to the National Business Aviation Association (NBAA) in Orlando in November.

The ambition was that in a period of ten years sales from this sector [Which one?] Represent 20% of Embraer's sales.

In January 2006, Venezuelan President Hugo Chávez announced the United States' veto on the sale of Super Tucano training aircraft to his country for technology transfer, as these aircraft also have North American technology in its avionics. For the same reason, a veto on sales of both civilian and military aircraft was announced for Iran.

In 2016, 108 airliners and 117 business aircraft were delivered, the best figure since 2010.

In July 2018, Boeing announced the creation of a joint venture with Embraer, the latter bringing assets combining its activities in civil aviation valued at $ 4.75 billion, those contributed by Boeing being of the order of 3 $ 8 billion. This joint venture will be 80% owned by Boeing, the amount invested by Boeing is undisclosed. This agreement excludes Embraer's military activities, as well as its private jet activities.

On May 24, 2019, the commercial division was renamed Boeing Brasil - Commercial.

Subsidiaries

Indústria Aeronáutica Neiva , headquartered in Botucatu , in the State of São Paulo, manufactures small planes for agricultural use, such as the EMB-202 Ipanema.

Main Competitors

Embraer is one of the two main manufacturers of airliners short-haul, also called regional jets. Its main competitor is Bombardier Aerospace. However, Bombardier is present in turbojet and turboprop aircraft while Embraer only manufactures jet aircraft.

In 2007, Embraer garnered 146 firm orders compared to 238 for Bombardier, including 141 for its jet models directly competitive with those of Embraer. In 2008, the two manufacturers garnered as many orders (114 for Bombardier, 112 for Embraer), but Bombardier only garnered 47 orders without its turbojet models. In terms of deliveries, Embraer supplanted Bombardier in 2007 and 2008, and even since 2005 if we exclude turboprop models.

New competitors have appeared in recent years, such as the Russian Sukhoi , the Chinese Commercial Aircraft Corporation of China and the Japanese Mitsubishi.

Shareholders

Its shareholders are: Previ  (in) (14.1%), BOVESPA Others (26.4%), Bozano Group (7.4%), BNDESPAR  (pt) (5.5%), NYSE Others (15, 8%), BlackRock (6.0%), Oppenheimer Funds (6.9%), thomburg investment (6.0%), Franklin ResoursesIN (6.6%), Hotchkis & Wiley CAPI (5.3%).

In 2018, in order to regain the market share acquired by the purchase of Bombardier by Airbus, Boeing decided to enter the capital of Embraer. The second goal was more technical: by buying Bombardier, Airbus placed itself on the previously untapped market for medium-haul aircraft, by the CSeries. Boeing is, therefore, securing a series of aircraft that can compete with Airbus in the 70-130 seat category

Boeing was only interested in the civil aviation branch of the Brazilian manufacturer. The 2 aircraft manufacturers, therefore, created a joint venture in which Boeing acquired 80% of the shares, valued at $ 3.8 billion (total value of $ 4.75 billion on July 5, 2018). The remaining 20% ​​is owned by Embraer.

This buy-back solution serves as an alternative to the offer made by Boeing in 2017 to buy back part of all of Embraer's branches. The Brazilian government had refused, deeming the military sector strategic.
